This Agreement is between you and 419 Dev Labs ("Company", "419 Dev Labs", "AVNU", "Alpha Road", "we", "our", or "us") concerning your use of (including any access to) AVNU, the website, service, or platform provided by the Company. AVNU includes but is not limited to the website avnu.fi and each of its subdomains, our mobile applications, and our web applications (collectively with any other materials and services available therein, and successor site(s) or application(s) thereto, the "Site"). This Agreement hereby incorporates by this reference any additional terms and conditions with respect to the Site posted by Company to the Site or otherwise made available to you by Company, including without limitation, during the creation, acquisition, transfer, or modification of certain digital assets, our online and/or mobile services, and software provided on or in connection with those services.

Acceptance

By clicking or tapping any button or box marked "accept", "agree", "sign message", or "OK" (or a similar term) in connection with this Agreement or by accessing or using the Site, you agree to be bound by this Agreement and affirm that you are of legal age to enter into this Agreement where you live and have the legal capacity to enter into this Agreement. If you are an individual accessing or using the Site on behalf of, or for the benefit of, any corporation, partnership, or other entity with which you are associated (an "Organization"), then you are agreeing to this Agreement on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to this Agreement.   • By using the Services, you confirm that you are not a citizen of, located in, incorporated in, or otherwise have a registered office in (I) the United States of America (an "American") or (II) Cuba, Iran, Myanmar (Burma), NorthKorea, China, Syria, the regions of Crimea, Donetsk or Luhansk, or any other country or region that is the subject of comprehensive country-wide or region-wide economic sanctions by the United States of America, Canada, the United Kingdom, Switzerland or the European Union (collectively, "Sanctioned Territories"). You also confirm that you are not acting on behalf of a person listed on any sanctions list or any person whose participation would cause a breach of the law or requirements of any country or governmental authority. Additionally, you confirm that you are not under the age of eighteen (18).
  • These Terms apply to all users accessing the Services on the Website.
  • By using the Services, you acknowledge and accept the economic and technical risks associated with blockchain technology and cryptocurrencies.
  • If you do not agree to these Terms, you may not use the Website.
  • These Terms are accessible on the Website and supersede any other versions or contradictory documents.

2. Services

  • The Services provided by Company enable users to benefit from a decentralized exchange aggregator platform, offering the best prices for token swaps on various blockchains.
  • Company may modify or discontinue the Services at any time without notice. Access to and use of the Services are subject to Company's discretion and may be restricted or terminated.
  • The Services may include incentive programs, as described separately.

3. User's Wallet

  • You can connect your Wallet to the Services, allowing for the collection and display of Wallet information.
  • You may log off your Wallet from the Services at any time.
  • You are responsible for the security of your Wallet, and Company cannot be held liable for any loss or unauthorized access to your digital assets.

4. Prohibited Uses

You may only use the Services for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:

  • In violation of any applicable laws, rules, or regulations.
  • To exploit or harm minors.
  • To transfer or use cryptocurrencies or digital assets that do not legally belong to you.
  • To engage in improper or abusive trading practices.
  • In any way that infringes upon the rights of others or for any illegal, threatening, fraudulent, or harmful purpose.
  • In a manner that restricts or inhibits others use or enjoyment of the Services or that may harm or offend Company or other users.

5. API Availability

  • Company may make an API available to Third-Party end users upon request or through the Website. The use of the API is subject to compliance with these Terms.
  • You may use the API for yourself or for a fee-based purpose by selecting the Partnership API.
  • Failure to comply with the terms and conditions of API use may result in the immediate suspension of access to the Services.

6. Liability

  • You are responsible for any breach of the Services resulting from your use.
  • You agree to use the Services in accordance with these Terms and not to reconstruct, decompile, disassemble, or circumvent the technical restrictions.
  • While using the Website, you shall refrain from any act that impairs its proper functioning, damages Company's interests or reputation, or violates applicable laws.
  • Company reserves the right to suspend your access to the Services and seek damages if you engage in conduct that violates these Terms, is unlawful, fraudulent, or detrimental to other users or the Services.
  • You are responsible for any errors in the amount of money sent to the Services from your bank account.

7. No warranties

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Company disclaims any warranties, whether express, implied, or statutory.
  • Your use of the Services is at your own risk.

8. Liability of Company

  • Company and its officers, directors, employees, agents, representatives, or affiliates shall not be liable for any damages or losses arising from your access to or use of the Services, including but not limited to user errors, personal injury, property damage, unauthorized access, interruptions, cyberattacks, or any other causes.
  • You agree to indemnify and hold Company and its affiliates, officers, directors, employees, agents, and representatives harmless from any losses, damages, judgments, fines, and costs resulting from your use of the Services and your breach of these Terms of Use.

9. No Professional or Fiduciary Duties

  • The information provided in connection with the Services is for informational purposes only and should not be construed as professional, financial, or legal advice. You should seek independent professional advice before making any financial, legal, or other decisions based on the information provided.

10. Intellectual Property

  • All Intellectual Property rights on the Website and related software, computer code, programs, and content belong to Company or its licensors or suppliers.
  • You are granted a limited, revocable, non-transferable license to use the Service for personal purposes only.
  • Unauthorized use or reproduction of the Website content or Services content is prohibited.
  • The trademarks associated with the Services are owned by Company or its affiliates or licensors and should not be used without prior written permission.

15. Applicable Law and Binding Arbitration

  • These Terms and any disputes arising out of or related to these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the British Virgin Islands, unless otherwise required by applicable laws.
  • Any dispute shall be adjudicated by arbitration in accordance with the BVI International Arbitration Centre Arbitration Rules.

16. Compliance with Laws

  • You represent and warrant that your use of the Services complies with all applicable laws, rules, and regulations, including data privacy, anti-money laundering, anti-terrorism, and anti-corruption laws.

17. Termination

  • Company may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including a breach of these Terms of Use. Fees paid in relation to the Services are non-refundable.
  • Provisions of these Terms that, by their nature, should survive termination will continue to apply, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
